Terms and conditions

 

1. The Harten Group Limited is referred to throughout these terms and conditions as “we” or “us” depending on the context.

2. The scheme is available to consultants who sign up with us on our standard consultancy terms and conditions including signing a confidentiality agreement. Consultants are referred to as “you” throughout these terms and conditions.

3. We shall credit points to you for the following activities:

3.1 When you become a consultant you will receive 50 points.

3.2 Where your contract is extended beyond its original expiry date by more than one month, where “one month” means more than 10 working days, you will receive 300 points.

3.3 Where you identify an opportunity for an interim manager within a company and recommend us to that company and as a direct result of such recommendation we are successful in placing an interim manager you will receive 500 points.

3.4 Where you have gained points by fulfilling the criteria in clause 3.3 above and have identified a further opportunity for us to provide an interim manager to a company and we are successful in providing such an interim manager you will receive 750 points.

4. Points are capable of being redeemed for a period of 24 months from the date they are issued. Any points which remain unredeemed after the expiry date shall lapse forthwith.

5. Points can be redeemed by contacting Mrs Tessa Smith and requesting a prize offered by us from time to time and published on our website. The points will be deducted from your account and confirmation of the prize sent to you.

6. Points may not be exchanged for cash. Points can only be redeemed against prizes published from time to time on the prize list.

7. All prizes are subject to availability. We reserve the right to withdraw or vary any offer without prior notice. If you make a claim for a prize which has subsequently been withdrawn or which for any reason cannot be delivered we will give you the following choices:

• A full refund of points;
• An alternative item on offer requiring the same number of points.

8. We will not be liable if suppliers of any of the prizes on offer withdraw, postpone or amend their products.

9. We accept no liability for any of the acts or omissions of independent contractors providing the services in this Reward Scheme.

10. No representations are made regarding the quality of any of the prizes on offer under this Reward Scheme nor of the suppliers supplying the services.

11. We do not exclude or limit our liability for death or personal injury caused by our own negligence, or for fraud or wilful default or otherwise insofar as any exclusion of limitation of our liability is prohibited or unenforceable by law. All other provisions of this Reward Scheme are subject to this clause.

12. We shall not be liable to you for loss of profit, loss of business, loss or depletion of goodwill or for any indirect or consequential loss or damages, costs, expenses or other claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with this Reward Scheme.

13. We shall not be responsible for any prize which is lost in the post.

14. Prizes may constitute a taxable benefit. The taxation treatment of these rewards will vary according to each individual’s circumstances but it is the responsibility of the recipient of these rewards to account for any associated tax and National Insurance that may arise as a result. It is not the responsibility of the Harten Group Ltd.

15. Our total liability arising out of or in connection with this Reward Scheme, whether in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise shall be limited to the value of the relevant prize such value to be determined by reference to the relevant supplier’s standard price list.

16. You may opt out of the Reward Scheme at any time by serving notice to us. If you opt out of the Reward Scheme you will lose any points which have not been redeemed by you.

17. Points are non transferable and non assignable.

18. We reserve the right to vary these Reward Scheme terms and conditions or to withdraw the scheme at any time. If the scheme is withdrawn and you have already earned sufficient points to make a claim you will be given an opportunity to do so.

19. If you breach your consultancy contract with us we reserve the right to decide not to allow you to redeem any points you may have collected or to award you any points you would otherwise be entitled to.

20. We do not make any representation regarding any personal tax liability arising as a result of participation in this Reward Scheme.

21. For the avoidance of doubt participation in this Reward Scheme does not form part of your remuneration package as defined in your consultancy agreement.
